1. Acceptance of Terms

These Terms of Service (“Terms”) govern your use of Red Team LLC’s website (https://redteam.vip) and all related digital products, including online courses, programs, and memberships (“Services”). By purchasing, accessing, or using any Service, you agree to be legally bound by these Terms. If you do not agree, you must discontinue use immediately.

You must be at least 18 years of age to use our Services. If you are under 18, you may only use the Services with the involvement and consent of a parent or legal guardian.

By completing a purchase or accessing the Services, you affirmatively consent to these Terms and represent that:

You have read and understood these Terms in their entirety
You have the legal capacity to enter into binding contracts
You are not located in, or a resident of, any jurisdiction where use of the Services would be illegal
You are not subject to sanctions or export restrictions by any government
All information you provide is accurate and complete

You acknowledge that your purchase constitutes acceptance of these Terms as displayed at the time of purchase.

2. Access and Duration

Each course or membership grants access for one (1) year from the date of purchase unless otherwise stated. Red Team LLC does not operate recurring subscriptions or automatic renewals. Access beyond the stated term requires a new purchase.

Red Team LLC reserves the right to extend, modify, or limit access periods for operational, technical, or business reasons. Any changes will be communicated to affected users when commercially reasonable.

3. Payment Terms and Refunds

3.1 Payment Processing
All purchases must be completed through our authorized payment processors. By providing payment information, you represent that you are authorized to use the payment method and authorize Red Team LLC to charge all fees incurred.

3.2 No Refund Policy
All sales are final. Due to the immediate access granted to digital educational materials, no refunds, credits, or exchanges will be provided after purchase for any reason, including but not limited to:

Change of mind or buyer’s remorse
Failure to use or complete the course
Dissatisfaction with content or teaching methodology
Technical issues on the user’s end (unless caused solely by Red Team LLC and unresolved within 30 days)
Difficulty level or time commitment required
Compatibility issues with user’s devices or systems
User’s lack of prerequisite knowledge or skills
Account termination due to Terms violations
Duplicate purchases
Purchases made in error

You acknowledge that you have reviewed available course descriptions, previews, and sample materials before purchase and accept full responsibility for your purchase decision.

Exception: In the event of a significant platform failure lasting more than 30 consecutive days that prevents all access to purchased content and is solely caused by Red Team LLC, a pro-rated refund may be considered at Red Team LLC’s sole discretion.

3.3 Chargebacks and Payment Disputes
Initiating a chargeback or payment dispute without first attempting to resolve the issue with Red Team LLC constitutes a material breach of these Terms and may result in:

Immediate suspension of all account access
Termination of all Services
Permanent ban from future purchases
Collection efforts for amounts owed plus costs
Referral to collections agency
Reporting to credit bureaus and fraud databases
Legal action to recover damages

You agree to pay all costs associated with collection efforts, including reasonable attorney fees, court costs, and collection agency fees (which may be up to 40% of the outstanding balance).

Fraudulent Chargebacks: If you initiate a chargeback knowing you received the Services, you agree this constitutes fraud and you will be liable for the disputed amount plus $500 in statutory damages per incident, or actual damages, whichever is greater.

4. Intellectual Property

All content, materials, software, videos, documentation, course structure, teaching methodology, and lab environments made available through the Services are owned or licensed by Red Team LLC and protected by copyright, trademark, and other intellectual property laws.

You receive a limited, non-exclusive, non-transferable, revocable license to access and use such materials solely for personal, non-commercial, lawful educational purposes during your active access period.

Strictly Prohibited Activities:

Recording, copying, or screen-capturing any course content
Sharing login credentials or course access with others
Downloading or extracting course materials for redistribution
Creating derivative works based on our proprietary content
Reverse engineering any software or lab environments
Using content for commercial training or competing services

Violation of intellectual property rights may result in immediate termination, legal action, and claims for damages.

5. User Conduct

You agree to use the Services responsibly and lawfully. You must not engage in any activity that compromises the integrity, security, or lawful purpose of the Services, including:

Unauthorized access attempts to our systems or other users’ accounts
Introducing malware, viruses, or malicious code
Conducting denial-of-service attacks or excessive automated queries
Attempting to circumvent security measures or access restrictions
Sharing of protected materials or certification content
Harassment, abuse, or threatening behavior toward instructors or other users
Impersonating Red Team LLC, its employees, or other users

6. Use of Training Materials and Legal Compliance

All Red Team LLC courses, labs, and materials are provided strictly for ethical, lawful, and authorized educational use in controlled environments.

You explicitly agree and represent that:

You will only perform penetration testing, security assessments, or use offensive security techniques on systems you own or for which you have explicit written authorization
You will comply with all applicable local, state, federal, and international laws
You will not use any knowledge, skills, tools, or materials obtained from Red Team LLC to perform or attempt unauthorized, malicious, or illegal activities
You understand that unauthorized computer access is a crime in most jurisdictions
You accept sole responsibility for your actions and any legal consequences

Red Team LLC assumes no liability for misuse of information by users. We do not encourage, condone, or authorize illegal activity. Violations of this section may result in immediate termination, certification revocation, cooperation with law enforcement, and possible civil or criminal referral.

7. Course Updates and Modifications

Red Team LLC continuously improves and updates its courses, materials, and online content to maintain quality, accuracy, and relevance. You acknowledge and agree that Red Team LLC may modify, enhance, replace, or discontinue course materials at any time, including adding new content or retiring outdated sections, without prior notice.

Such updates and modifications will be made available to all enrolled users at no additional cost during their active access term. These changes do not alter the duration of access originally granted with your purchase. Red Team LLC is under no obligation to maintain any specific content, lab environment, or feature indefinitely.

8. Certification Integrity and Conduct

Where applicable, Red Team LLC may issue certificates of completion or competency (“Certificates”) to users who successfully complete certain courses or assessments. You agree to maintain honesty and integrity in all certification activities, including any testing, practical exercises, or evaluations.

Prohibited Conduct:

Cheating or using unauthorized assistance during assessments
Sharing exam questions, answers, or assessment content
Impersonating another individual during testing
Using braindumps, leaked materials, or unauthorized study aids
Falsifying completion status or results
Any conduct that compromises the validity or fairness of the certification process

Red Team LLC reserves the right to revoke any Certificate, deny certification, or permanently restrict platform access for conduct it determines to be unethical, dishonest, or inconsistent with professional standards. Such determinations are final and at Red Team LLC’s sole discretion.

All certification materials, questions, lab scenarios, and assessment content are the confidential intellectual property of Red Team LLC and may not be copied, recorded, distributed, or disclosed under any circumstances.

Certificates issued by Red Team LLC represent educational achievement only and do not constitute a professional license, government accreditation, or guarantee of employment.

9. Account Responsibilities

You are solely responsible for:

Maintaining the confidentiality of your login credentials
All activity conducted through your account
Ensuring your account information is accurate and current
Preventing unauthorized access to your account

You agree to notify Red Team LLC immediately at [email protected] of any unauthorized access or suspected breach of security. You may not share, sell, or transfer your account to any other person.

10. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our data practices as described in the Privacy Policy.

We use industry-standard security measures but cannot guarantee absolute security. You acknowledge that you provide information at your own risk.

Our payment processing, hosting, and other infrastructure services are provided by third parties. While we select reputable providers, we are not liable for their failures or security incidents.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Red Team LLC expressly disclaims all warranties, including but not limited to:

Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
Warranties that the Services will be uninterrupted, error-free, or secure
Warranties regarding the accuracy, reliability, or completeness of content
Warranties that defects will be corrected
Warranties regarding outcomes, employment, salary increases, or career advancement

No advice or information obtained from Red Team LLC or through the Services shall create any warranty not expressly stated in these Terms.

You acknowledge that:

Cybersecurity and technology fields evolve rapidly; content may become outdated
Real-world results depend on many factors beyond our control
Completion of courses does not guarantee certification, employment, or specific skills
Technical issues, downtime, and service interruptions may occur

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Red Team LLC, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising from or related to your use or inability to use the Services, including but not limited to:

Loss of profits, revenue, data, or business opportunities
Service interruptions or data loss
User errors or misuse of materials
Third-party actions or content
Unauthorized access to your account
Career or employment outcomes
Legal consequences of your actions

In no event shall Red Team LLC’s total aggregate liability exceed the amount you paid for the specific Service giving rise to the claim, or $100 USD, whichever is less.

These limitations apply even if Red Team LLC has been advised of the possibility of such damages. Some jurisdictions do not allow certain liability exclusions, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Red Team LLC, its officers, directors, employees, contractors, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from:

Your use or misuse of the Services
Your violation of these Terms
Your violation of any law or regulation
Your violation of any rights of another person or entity
Any unauthorized access or illegal activities you perform
Your breach of any representations or warranties made herein
Content you submit or post through the Services

This indemnification obligation survives termination of these Terms and your use of the Services.

15. Termination

15.1 Termination by Red Team LLC
Red Team LLC reserves the right to suspend, restrict, or terminate your access to any or all Services immediately, without prior notice or liability, for any reason, including but not limited to:

Violation of these Terms
Fraudulent, illegal, or abusive conduct
Non-payment or chargeback disputes
Sharing of proprietary materials
Threats to system security or integrity
Operational or business reasons

15.2 Effect of Termination
Upon termination:

Your license to access and use all Services immediately ceases
You must destroy all downloaded materials and cease using Red Team LLC content
You remain liable for all obligations incurred prior to termination
No refunds, credits, or pro-rated reimbursements will be provided
Sections of these Terms that by their nature should survive termination shall survive

15.3 Data Retention
Red Team LLC may retain your data as required by law or for legitimate business purposes following termination.

16. Force Majeure

Red Team LLC shall not be liable for any failure or delay in performing obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to:

Acts of God, natural disasters, or pandemics
War, terrorism, civil unrest, or government action
Internet outages, cyberattacks, or infrastructure failures
Third-party service provider failures
Labor disputes or strikes

In such events, performance obligations are suspended for the duration of the force majeure event. If the event continues for more than 30 days, either party may terminate the affected Service without liability.

17. Dispute Resolution and Arbitration

17.1 Informal Resolution
Before filing any claim, you agree to first contact Red Team LLC at [email protected] to attempt informal resolution. Most disputes can be resolved quickly and cost-effectively this way.

17.2 Binding Arbitration
If informal resolution fails, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively through binding individual arbitration rather than in court, except as provided below.

Arbitration shall be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Florida, or remotely by mutual agreement. Each party shall bear its own costs and fees unless the arbitrator awards them to the prevailing party.

17.3 Class Action Waiver
You agree that any arbitration or proceeding shall be conducted only on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

17.4 Exceptions
Either party may seek injunctive or equitable relief in court to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

17.5 Waiver of Jury Trial
To the extent any court action is permitted, you waive your right to a jury trial.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles.

To the extent court jurisdiction is proper (per Section 17), you consent to the exclusive jurisdiction and venue of the state and federal courts located in Orange County, Florida. You waive any objection to venue or inconvenient forum.

If you are accessing the Services from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

19. Export Compliance

You acknowledge that the Services and related technical information may be subject to U.S. export control laws and regulations. You agree to comply with all applicable export and re-export restrictions and will not access or use the Services in violation of such laws.

20. Modifications to Terms

Red Team LLC reserves the right to modify these Terms at any time. We will notify users of material changes by:

Posting updated Terms on our website with a new “Last Updated” date
Sending an email notification to your registered email address (for significant changes)
Displaying a notice upon login (for significant changes)

Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must discontinue use immediately. No refunds will be provided for disagreement with modified Terms.

21. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, the provision shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

22. Waiver

No waiver by Red Team LLC of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by Red Team LLC to enforce a right or provision of these Terms shall not constitute a waiver of such right or provision.

23. Assignment

You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without Red Team LLC’s prior written consent. Red Team LLC may freely assign these Terms without restriction. Any attempted assignment in violation of this section is void.

24. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms presented at the time of purchase, constitute the entire agreement between you and Red Team LLC regarding the Services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.

No amendment or modification of these Terms shall be binding unless in writing and signed by an authorized representative of Red Team LLC.

26. Relationship of Parties

Nothing in these Terms creates any partnership, joint venture, employment, agency, or franchiser-franchisee relationship between you and Red Team LLC. You have no authority to bind Red Team LLC or make representations on its behalf.

27. Survival

The following sections shall survive termination of these Terms: Sections 3 (Payment Terms and Refunds), 4 (Intellectual Property), 6 (Legal Compliance), 13 (Limitation of Liability), 14 (Indemnification), 17 (Dispute Resolution), 18 (Governing Law), and any other provisions that by their nature should survive.

28. Monitoring and Enforcement

28.1 Right to Monitor
Red Team LLC reserves the right, but has no obligation, to monitor, review, or record any aspect of your use of the Services, including but not limited to:

Login activity, access patterns, and usage statistics
Course progress and completion rates
Lab environment activities and commands executed
Communications with instructors or support staff
IP addresses and device information
Assessment attempts and results

This monitoring may be conducted using automated systems, manual review, or third-party tools for purposes including security, fraud prevention, Terms enforcement, and service improvement.

28.2 Anti-Piracy and Copyright Enforcement
Red Team LLC employs technological measures to detect and prevent unauthorized sharing, including:

Digital watermarking and fingerprinting of content
Automated detection of leaked materials on public platforms
Monitoring of file-sharing sites, forums, and social media
Collaboration with anti-piracy services

Users found sharing materials may face immediate termination, legal action, and damages claims up to $150,000 per work under the Digital Millennium Copyright Act (DMCA).

28.3 Account Sharing Detection
Red Team LLC uses sophisticated detection systems to identify account sharing, including analysis of:

Login locations and IP addresses
Simultaneous access from multiple locations
Device fingerprinting and browser characteristics
Usage patterns inconsistent with single-user access

Account sharing violations result in immediate termination without refund and may result in termination of all shared users’ accounts.

29. Government and Law Enforcement Cooperation

Red Team LLC reserves the right to cooperate fully with law enforcement agencies, government officials, and private parties in any investigation or prosecution related to suspected illegal activity conducted by users. This cooperation may include:

Disclosure of user information, account activity, and usage logs
Preservation of evidence and account data
Testimony in legal proceedings
Assistance with warrants, subpoenas, or court orders

You have no expectation of privacy regarding illegal activities and explicitly waive any claims against Red Team LLC for such cooperation.

30. User-Generated Content

30.1 Submission License
If the Services allow you to submit, post, or share content (including comments, forum posts, project submissions, or feedback), you grant Red Team LLC a worldwide, perpetual, irrevocable, royalty-free, transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content for any purpose, including marketing, testimonials, and service improvement.

30.2 Content Restrictions
You may not submit content that:

Infringes intellectual property rights
Contains malware, exploits, or malicious code
Violates any law or regulation

You were not compensated beyond standard course enrollment

You will not later contradict or disparage your statements

34. Cybersecurity Disclosure and Assumption of Risk

IMPORTANT NOTICE: The Services involve instruction in offensive security, penetration testing, vulnerability exploitation, and related cybersecurity topics. You explicitly acknowledge and assume all risks associated with this instruction, including:

34.1 Knowledge Risks
The knowledge and skills taught can be used for both defensive and offensive purposes. You acknowledge that:

The same techniques used for authorized security testing can be used maliciously
You bear sole responsibility for how you apply learned skills
Misuse of this knowledge may result in criminal prosecution
Red Team LLC has no control over your actions outside the Services

34.2 Legal Risks
You acknowledge that cybersecurity activities, even when well-intentioned, may violate laws including:

Computer Fraud and Abuse Act (CFAA) in the United States
Similar laws in other jurisdictions (UK Computer Misuse Act, etc.)
Terms of service of third-party platforms
Employment agreements or corporate policies

You explicitly assume all legal risks and agree to seek qualified legal counsel before conducting any security testing activities in professional contexts.

34.3 Career Risks
You acknowledge that:

Certifications do not guarantee employment or career advancement
Cybersecurity employment often requires background checks and security clearances
Past conduct (including course-related activities) may affect employability
Market conditions, skills, and experience determine employment outcomes
Red Team LLC makes no representations about employment prospects

34.4 Technical Risks
You acknowledge that hands-on labs and exercises may involve:

Virtual machines and potentially unstable software
Exposure to simulated malware and exploits in controlled environments
Risk of software conflicts with your systems
Potential data loss if proper precautions aren’t taken

You agree to follow all safety instructions and assume risk for damage to your systems.

35. Sanctions and Restricted Territories

You represent and warrant that:

You are not located in, or a resident of, any country subject to U.S. embargo or designated as a “terrorist supporting” country
You are not listed on any U.S. government list of prohibited or restricted parties
You will not access the Services from any sanctioned territory
You will comply with all applicable export control and sanctions regulations

Red Team LLC reserves the right to block access from any jurisdiction and to terminate accounts of users in violation of this section without refund.

36. Prohibited Use Cases

In addition to other restrictions, you explicitly agree NOT to use the Services or any knowledge gained therefrom for:

Unauthorized penetration testing or security assessments
Development of malware, ransomware, or attack tools for malicious purposes
Participation in bug bounty programs without proper authorization
Attacking critical infrastructure, healthcare systems, or essential services
Activities targeting elections, voting systems, or democratic processes
Developing capabilities for nation-state or cybercriminal organizations
Any activity that would violate international law or human rights

Violation of this section will result in immediate termination, reporting to authorities, and pursuit of all available legal remedies.

37. Content Accuracy Disclaimer

While Red Team LLC strives for accuracy, you acknowledge that:

Cybersecurity information evolves rapidly and content may become outdated
Errors, omissions, or inaccuracies may exist despite quality control efforts
Real-world systems may differ from lab environments
Techniques demonstrated may not work in all scenarios
You should verify critical information through multiple authoritative sources

Red Team LLC disclaims liability for any damages resulting from inaccurate or outdated information.

38. No Partnership or Employment

Enrollment in courses does not create any employment relationship, partnership, or agency relationship with Red Team LLC. You are not authorized to represent yourself as an employee, contractor, or agent of Red Team LLC. Misrepresentation may result in legal action.

39. Tax Obligations

You are solely responsible for determining and paying any applicable taxes arising from your purchase or use of the Services. Red Team LLC does not provide tax advice and prices do not include applicable sales tax, VAT, or other taxes unless explicitly stated.

40. Email and Communication Consent

By providing your email address, you consent to receive:

Transactional emails (purchase confirmations, access details, password resets)
Service announcements and important updates
Marketing communications (which you may opt out of)

You agree that electronic communications satisfy legal requirements for written notice.

41. Feedback and Suggestions

43. Attorney Fees

In any legal proceeding arising from these Terms, the prevailing party shall be entitled to recover reasonable attorney fees, expert witness fees, court costs, and other litigation expenses from the non-prevailing party. This applies to both arbitration and court proceedings.

44. Interpretation

In interpreting these Terms:

“Including” means “including but not limited to”
Singular includes plural and vice versa
“You” refers to the individual or entity accepting these Terms

These Terms are executed in English. Any translation is provided for convenience only, and the English version shall prevail in case of conflict.

46. Electronic Signature

You acknowledge that your electronic acceptance (clicking “I agree,” completing a purchase, etc.) constitutes a legally binding signature and agreement equivalent to handwritten signature, under the E-SIGN Act and Uniform Electronic Transactions Act (UETA).
